For last few days I am getting message in my PC
This is just coming where time & date shows in PC
It comes in yellow traingle with !
Is it real or something really wrong?
Message reads as -
your system is low on virtual memory. Windows is increasing the size of your
virtual memory paging file. During this process, memory request for some applications may be denied
What should be my action, what exactly is wrong?
Can some one write what should I do?

It is essentially using part of ur hard disk as an extension to RAM. You can read about it in wiki in detail http://en.wikipedia.org/wiki/Virtual_memory
If you are using the comp for long, check if you have too many start up /daemon programs/ services running. May be you can shut down what you don't need. Alternatively, you can go to settings and increase the VM or even add more RAM.

Virtual memory is extended physical memory usually hard disk, the way the operating systems increase their speed is by using physical memory plus eating into hard disk memory so they can handle large programs and do stuff like multi tasking multi processing. Typically try to do more with less...
Please bear in mind as you increase your workload on the computer or add new applications / OS like Vista you need to beef up memory - both RAM and HDD. You can run some benchmark programs to check your PC performance from time to time. It is also good idea to de-fragment the HDD using the windows tool.

Virtual memory, also known as a page file or swap file, is a file on your hard drive (C:\pagefile.sys by default) that Windows and applications use in addition to physical memory (RAM) as needed. The default and recommended size of this file is 1.5 times the amount of physical memory.
I'm going to assume you're running Windows XP. It could be as simple as very little Physical Memory (RAM) - so go on add some more. Otherwise it is indicative of a buggy application with a memory leak.
You can find the source of problem using 'Task Manager'. When you bring up 'Task Manager' - don't forget to Select 'Virtual Memory Size' Column. Once you know the name - you can either Shutdown the process or Uninstall program itself.
